Wholesale Terms & Conditions

These Wholesale Terms & Conditions ("Agreement") govern all wholesale transactions between Rosie Wonders Ltd ("Supplier", "we", "us", or "our") and the retailer ("Retailer", "you", or "your"). By placing a wholesale order, the Retailer agrees to be bound by these terms.

1. PRODUCTS
The Supplier provides temporary tattoos, greeting cards, and related wholesale products ("Products"). Products are manufactured in the United Kingdom and/or China. All Products are intended for resale by the Retailer and are not intended for personal use by the Retailer.

2. ORDER ACCEPTANCE
Orders are accepted at the sole discretion of the Supplier and are subject to availability. The Supplier reserves the right to refuse or cancel any order for any reason.

3. PRICING & PAYMENT
- All prices are quoted in [Currency] and are exclusive of shipping, taxes, customs duties, or tariffs, unless otherwise stated.
- For all overseas orders, payment is required in advance by pro forma invoice. No production or dispatch will occur until full payment is received.
- Greeting cards are made to order. Orders will not be initiated until payment is confirmed in full.
- Retailers are responsible for all applicable import duties, tariffs, or taxes in the United States or any other destination.

4. PRODUCTION LEAD TIMES & DELIVERY

- Production of made-to-order items (including greeting cards) will begin upon receipt of payment.

- We aim to dispatch all wholesale orders within 4 weeks of payment, though this may be extended slightly during peak periods.
- Risk of loss passes to the Retailer upon dispatch.
- The Supplier is not responsible for delays, damages, or losses incurred during transit.

- Any shipping estimates provided are non-binding and do not constitute guaranteed delivery dates.

5. RETURNS & CLAIMS
- Wholesale orders are final sale and non-returnable unless the goods are defective upon arrival.
- Any claims for defective or incorrect items must be made in writing within 7 days of receipt, accompanied by photographic evidence where applicable.

6. PRODUCT USE & SAFETY
- Retailer acknowledges that the Products are intended for external use only and must be used in accordance with instructions, warnings, and applicable safety regulations.
- It is the Retailer's sole responsibility to ensure that Products comply with all relevant local, state, and federal laws in the territory where they are sold or distributed.

7. LIMITATION OF LIABILITY
- The Supplier makes no warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose.
- The Supplier shall not be liable for any direct, indirect, incidental, or consequential damages, including but not limited to injury, illness, allergic reactions, or other harm that may occur to the Retailer's customers or third parties arising from the use or misuse of the Products.
- Retailer agrees to indemnify and hold harmless the Supplier from any claims, liabilities, damages, or expenses, including reasonable legal fees, arising from the sale, distribution, or use of the Products by the Retailer or any third party.

8. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any

disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or communications. No amendment shall be valid unless made in writing and signed by both parties.

By placing a wholesale order, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
